These Terms & Conditions ("Terms") govern the website design, deployment, hosting, maintenance, and management services ("Services") provided by Cablelytics Labs LLC ("Cablelytics Labs," "we," "us," or "our") to you, the client ("Client," "you," or "your"). By submitting payment for any of our Services, you agree to be bound by these Terms.
1. Acceptance of Terms & Binding Agreement
By submitting payment for any Cablelytics Labs service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. Your submission of payment constitutes your electronic signature and forms a binding contract between you and Cablelytics Labs LLC, enforceable to the same extent as a written, signed agreement. If you do not agree to these Terms, do not submit payment or use our Services.
2. Description of Services
Upon payment of the applicable fees, Cablelytics Labs will provide the following Services:
- Custom Website Design: A professionally designed website tailored to your brand, including layout, styling, and content integration.
- Deployment: Publishing your website to a live hosting environment so it is accessible online.
- Ongoing Maintenance: Routine updates, security patches, and technical upkeep to keep your website functioning properly.
- Hosting: Server hosting and uptime monitoring for the duration of your active subscription.
- Revisions: Content edits and updates to your existing website (such as text, images, and minor adjustments) as described in your selected service plan. Revisions apply only to the existing website as delivered. Any new pages, additional features, third-party integrations, or other work outside the scope of the existing site will be scoped, quoted, and billed separately.
The specific scope, deliverables, and any limits on revisions are defined in your selected plan and any accompanying proposal or invoice. Revisions cover maintenance and updates to your existing website only; new pages, integrations, or added functionality are not included and will be scoped and billed separately.
3. Fees, Billing & Payment
Services consist of a one-time website creation fee covering the initial design, build, and deployment of your website, plus a recurring subscription fee covering ongoing hosting, maintenance, and revisions. The one-time creation fee is due before work begins, and the recurring subscription is billed in advance at the start of each billing period (monthly unless otherwise stated). All fees are quoted and payable in U.S. Dollars (USD). Payments are processed securely through our third-party payment processor (Stripe), and you agree to that processor's terms in addition to these Terms. You are responsible for providing accurate, current billing information and for any applicable taxes.
4. Automatic Renewal & Recurring Billing
Your subscription will automatically renew at the end of each billing period and your payment method will be charged the then-current recurring fee, unless and until you cancel. By submitting payment, you expressly authorize Cablelytics Labs and its payment processor to charge your payment method on a recurring basis until you cancel in accordance with Section 5. You may cancel at any time to stop future charges; see the cancellation and takedown terms below.
5. Cancellation & Website Takedown
You may cancel your subscription at any time by emailing contact@cablelyticslabs.io. Cancellation stops future billing; it does not retroactively refund the current period.
Important: Hosting, maintenance, and continued availability of your website are contingent upon your active, paid subscription. If you cancel, fail to pay, or your payment otherwise lapses, your website and associated services will be deactivated and taken offline. We may retain or delete your site files and data after a reasonable grace period of seven (7) days following non-payment. You are responsible for requesting and retaining any copies of your content before service ends.
6. Refunds
Except where required by applicable law, all fees are non-refundable, including fees for the current billing period upon cancellation.
7. Client Responsibilities
You agree to provide, in a timely manner, all content, materials, access credentials, and approvals reasonably necessary for us to perform the Services. You represent that you own or have the right to use all content you provide and that it does not infringe any third party's rights or violate any law. Delays caused by your failure to provide required materials may extend timelines without liability to us.
8. Intellectual Property & Ownership
Upon full and continued payment, you own the final content and brand assets you provided to us. Cablelytics Labs retains ownership of any underlying frameworks, code libraries, templates, and tools used to build and operate your website, and grants you a limited license to use them solely in connection with your active subscription. Ownership transfer of site files, repository, and hosting accounts, if any, occurs only as expressly described in your plan and only upon satisfaction of all payment obligations.
9. Service Availability & Disclaimer of Warranties
While we strive for high uptime and reliable performance, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the maximum extent permitted by law, Cablelytics Labs LLC and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Services. Our total aggregate liability for any claim shall not exceed the amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Cablelytics Labs LLC from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, or your violation of these Terms or any applicable law.
12. Third-Party Services
Our Services may rely on third-party providers (such as hosting platforms, domain registrars, and payment processors). We are not responsible for outages, errors, or actions of these third parties, and your use of their services may be subject to their separate terms.
13. Modifications to Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Your continued use of the Services or submission of payment after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Cobb County, Georgia, and you consent to the personal jurisdiction of those courts.
15. Severability & Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with your selected plan, proposal, or invoice, constitute the entire agreement between you and Cablelytics Labs regarding the Services and supersede all prior agreements or understandings.
